Zetra AI — Terms of Use

IMPORTANT NOTICE: THIS AGREEMENT IS SUBJECT TO BINDING ARBITRATION AND A WAIVER OF CLASS ACTION RIGHTS AS DETAILED IN SECTION 15.

1. Introduction & Acceptance of Terms

1.1 Agreement to Terms

These Terms of Use ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," "your") and Zetra AI ("Zetra," "Company," "we," "us," "our"), governing your access to and use of the Zetra AI running coach application (the "App"), website, and related services (collectively, the "Service").

BY ACCESSING, DOWNLOADING, INSTALLING, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.

If you do not agree to these Terms, you must immediately stop using the Service and delete the App from your device.

1.2 Eligibility

You strictly represent and warrant that:

  • You are at least 16 years of age.
  • If you are between 16 and the age of majority in your jurisdiction, you have reviewed these Terms with your parent or guardian, and they have agreed to them on your behalf.
  • You have the legal capacity to enter into a binding contract.
  • You are not located in a country that is subject to a U.S. government embargo or designated as a "terrorist supporting" country.
  • You are not listed on any U.S. government list of prohibited or restricted parties.

2. STRICT MEDICAL DISCLAIMER & HEALTH WARNING

[!CAUTION] PLEASE READ THIS SECTION CAREFULLY. ZETRA IS NOT A HEALTHCARE PROVIDER.

2.1 Not Medical Advice

The Service, including all AI-generated coaching, training plans, heart rate analysis, and recovery metrics, is for informational, educational, and entertainment purposes only.

  • No Doctor-Patient Relationship: Use of the Service does not create a doctor-patient, physical therapist-client, or professional coaching relationship.
  • Consult Your Physician: You must consult with your physician or other qualified healthcare professional before starting or changing any exercise program, especially if you have a history of heart disease, high blood pressure, or other chronic conditions.
  • Ignore App if Unsafe: Never disregard professional medical advice or delay in seeking it because of something you have read on the Service. If you experience faintness, chest pain, shortness of breath, or dizziness, STOP IMMEDIATELY and consult a doctor.

2.2 Assumption of Risk

YOU EXPRESSLY AGREE THAT YOUR ATHLETIC ACTIVITIES CARRY INHERENT AND SIGNIFICANT RISKS OF PROPERTY DAMAGE, BODILY INJURY, OR DEATH. By using the Service, you voluntarily assume all known and unknown risks associated with these activities, even if caused in whole or part by the action, inaction, or negligence of Zetra AI or by the action, inaction, or negligence of others.

3. Artificial Intelligence Features

3.1 Nature of AI Coaching

The Service utilizes advanced artificial intelligence ("AI") and machine learning technologies provided by third parties (e.g., OpenAI) to generate coaching feedback. You acknowledge that:

  • AI Can Make Mistakes: AI models may produce output that is inaccurate, repetitive, or irrelevant ("Hallucinations").
  • No Human Review: The coaching advice is generated automatically and is not reviewed by human coaches or medical professionals.
  • User Discretion: You are solely responsible for evaluating the accuracy and safety of any AI-generated advice before acting on it. Do not follow AI instructions that seem unsafe, illogical, or contrary to common sense.

3.2 AI Data Usage & Rights

To the maximum extent permitted by applicable law:

  • Right to Train: You grant Zetra AI a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to use your User Content (including workout logs, feedback, and performance metrics) on an aggregated and anonymized basis to develop, improve, training, and fine-tune our artificial intelligence and machine learning models.
  • Ownership of Models: Zetra AI exclusively owns all rights, title, and interest in and to any AI models, algorithms, weights, and "derivative works" created using such data.

4. User Accounts & Security

4.1 Account Creation

To access certain features, you must create an account via Sign in with Apple or other supported methods. You agree to provide accurate, current, and complete information.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account.

5. Subscriptions, Payments & Billing

5.1 Subscriptions

The Service offers auto-renewing subscription plans ("Premium Service").

  • Billing Cycle: Subscription fees are billed at the beginning of the subscription period (e.g., weekly, monthly, annually).
  • Auto-Renewal: Your subscription will automatically renew for the same duration and at the then-current rate unless strictly canceled at least 24 hours before the end of the current period.

5.2 Free Trials

If you sign up for a free trial:

  • You will be automatically charged the subscription fee upon the expiration of the trial period unless you cancel at least 24 hours prior to the end of the trial.
  • You forfeit any unused portion of a free trial if you purchase a subscription during the trial period.

5.3 Cancellations

You may cancel your subscription at any time through your Apple ID Account Settings.

  • No Direct Cancellation: Zetra AI cannot cancel subscriptions managed by the Apple App Store on your behalf.
  • Effect of Cancellation: Cancellation stops future billing. You will retain access to Premium features until the end of the current billing cycle.

5.4 Refunds

All fees paid are non-refundable.

  • Refund requests for subscriptions purchased through the iOS App Store are handled exclusively by Apple in accordance with their terms. Zetra AI does not have the ability to issue refunds directly.

5.5 Price Changes

We reserve the right to change subscription fees at any time. We will provide reasonable notice of any price increase. Continued use of the Service after the price change takes effect constitutes your agreement to pay the new amount.

6. Prohibited Conduct (Community Standards)

6.1 Restricted Activities

You agree NOT to:

  1. Commercial Use: Use the Service for any commercial purpose, including selling coaching services or training data, without our prior written consent.
  2. Scraping & Automation: Use any robot, spider, scraper, deep-link, or other automated data gathering or extraction tools, program, algorithm, or methodology to access, acquire, copy, or monitor the Service.
  3. Reverse Engineering: Decipher, decompile, disassemble, or reverse engineer any of the software comprising the Service, or attempt to derive the source code or underlying AI models.
  4. AI Training: Use any content, data, or output from the Service to develop, train, or improve any other artificial intelligence or machine learning model.
  5. Interference: Interfere with, damage, or disrupt the Service, servers, or networks connected to the Service.
  6. Harassment: Stalk, harass, threaten, or defraud other users or Zetra staff.
  7. Impersonation: Impersonate any person or entity or falsely state your affiliation with any person or entity.

6.2 Violation Policy

We have the right to investigate and prosecute violations of any of the above to the fullest extent of the law. We may involve and cooperate with law enforcement authorities in prosecuting users who violate these Terms.

7. Intellectual Property Rights

7.1 Zetra Ownership

The Service and its entire contents, features, and functionality (including but not limited to all information, software, code, AI models, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Zetra AI, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

7.2 Limited License

Subject to your compliance with these Terms, Zetra grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App for your personal, non-commercial use on a device owned or controlled by you.

7.3 Trademarks

The Zetra AI name, the logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Zetra AI. You must not use such marks without strict prior written permission.

8. User Content

8.1 Ownership

You retain ownership of any data, text, or other content you submit to the Service ("User Content").

8.2 License to Use

By providing User Content, you grant Zetra AI a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for the purpose of operating, providing, developing, and improving the Service (including AI training as detailed in Section 3).

9. Responsible Use of Location Services

The Service uses location-based components (GPS).

  • Privacy: You acknowledge that sharing your routes publicly may reveal your location, home address, and daily habits.
  • Safety: You are solely responsible for ensuring your safety when following any route or suggestion. Avoid unsafe areas, heavy traffic, and private property.

10. TERM AND TERMINATION

10.1 Immediate Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

10.2 Effect of Termination

Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ZETRA AI MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICE OR THE INFORMATION, CONTENT, OR MATERIALS INCLUDED THEREIN. YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

TO THE FULL EXTENT PERMISSIBLE BY LAW, ZETRA AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

12. LIMITATION OF LIABILITY ("THE CAP")

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZETRA AI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (iii) ANY CONTENT OBTAINED FROM THE SERVICE; AND (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

MAXIMUM LIABILITY: IN NO EVENT SHALL THE AGGREGATE LIABILITY OF ZETRA AI EXCEED THE LESSER OF (A) ONE HUNDRED U.S. DOLLARS ($100.00) OR (B) THE AMOUNT YOU PAID ZETRA AI, IF ANY, IN THE PAST TWELVE (12) MONTHS FOR THE SERVICE GIVING RISE TO THE CLAIM.

13. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Zetra AI and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

  1. Your use and access of the Service, by you or any person using your account and password;
  2. A breach of these Terms;
  3. Your violation of any third-party right, including without limitation any copyright, property, or privacy right;
  4. Your underlying physical condition or any injury you sustain while using the App.

14. Apple-Specific Terms

Since you are downloading the App from the Apple App Store:

  1. Acknowledgment: This Agreement is between you and Zetra AI only, not Apple.
  2. Maintenance: Apple has no obligation to furnish any maintenance and support services.
  3. Warranty: In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price. To the max extent permitted by law, Apple will have no other warranty obligation.
  4. Claims: You acknowledge that Apple is not responsible for addressing any claims relating to the App or your possession/use of the App.
  5. Beneficiary: You acknowledge that Apple and Apple's subsidiaries are third-party beneficiaries of this Agreement.

15. DISPUTE RESOLUTION & CLASS ACTION WAIVER

15.1 Governing Law

These Terms shall be governed and construed in accordance with the laws of The State of Israel, without regard to its conflict of law provisions.

15.2 Informal Resolution

For any dispute, you agree to first simply contact us at legal@zetra.ai and attempt to resolve the dispute with us informally.

15.3 Binding Arbitration

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, INCLUDING THE DETERMINATION OF THE SCOPE OR APPLICABILITY OF THIS AGREEMENT TO ARBITRATE, SHALL BE DETERMINED BY ARBITRATION IN TEL AVIV, ISRAEL.

15.4 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US AND YOU INDIVIDUALLY. TO THE FULL EXTENT PERMITTED BY LAW, (I) NO ARBITRATION OR PROCEEDING SHALL BE JOINED WITH ANY OTHER; (II) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED OR RESOLVED ON A CLASS ACTION-BASIS OR TO UTILIZE CLASS ACTION PROCEDURES; AND (III) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC OR ANY OTHER PERSONS.

16. General Provisions

16.1 Entire Agreement

These Terms and our Privacy Policy constitute the sole and entire agreement between you and Zetra AI regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

16.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
